This Vendor Agreement (“Agreement”) governs the relationship between Kudita (“Platform,” “we,” “our,” or “us”) and any individual or business (“Vendor,” “you,” or “your”) that uses the Kudita platform to create a storefront, list products or services, and sell to customers.
By registering as a vendor on Kudita, you agree to be bound by this Agreement.
1. Platform Deion
Kudita is a digital-first commerce platform that enables vendors and restaurant owners to create branded e-commerce storefronts, manage orders, sell products or services, and receive payments online.
Kudita provides technology and infrastructure only and does not act as a seller, distributor, or delivery agent unless explicitly stated.
2. Vendor Eligibility
To become a vendor on Kudita, you must:
Be at least 18 years old
Have the legal authority to operate and sell your products or services
Provide accurate and up-to-date business information
Comply with all applicable laws and regulations
Kudita reserves the right to approve, reject, or suspend vendor accounts at its discretion.
3. Vendor Responsibilities
As a vendor, you agree to:
Provide accurate product deions, pricing, and availability
Fulfill orders promptly and professionally
Maintain quality, hygiene, and safety standards (especially for food items)
Handle customer inquiries, refunds, returns, and complaints
Comply with tax, consumer protection, and food safety laws
Ensure timely delivery through your chosen delivery method
You are solely responsible for the products or services you offer on Kudita.
4. Prohibited Products and Activities
Vendors must not list or sell:
Illegal, counterfeit, or stolen goods
Restricted or regulated items without proper authorization
Unsafe, expired, or harmful products
Misleading or deceptive listings
Vendors must not engage in fraud, money laundering, or platform abuse.
Kudita reserves the right to remove prohibited listings without notice.
5. Pricing and Payments
Vendors set their own prices and promotions.
Payments are processed through third-party payment providers.
Kudita may charge subion fees, service fees, or transaction fees, which will be disclosed.
Vendors are responsible for all applicable taxes and charges.
Kudita does not guarantee payment timelines or revenue outcomes.
6. Refunds, Returns, and Disputes
Vendors are responsible for defining and enforcing their refund and return policies.
Refunds must be handled in accordance with consumer protection laws.
Vendors bear responsibility for chargebacks, disputes, and customer claims.
Kudita may intervene only for platform-related investigations.
7. Intellectual Property
Vendors retain ownership of their trademarks, logos, and content.
By using Kudita, vendors grant Kudita a non-exclusive, royalty-free license to use their content for platform operations, marketing, and promotion.
Vendors must not infringe on third-party intellectual property rights.
8. Data Protection and Privacy
Vendors agree to handle customer data responsibly and in compliance with applicable data protection laws.
Vendors must not misuse, sell, or share customer data outside the scope of fulfilling orders.
9. Suspension and Termination
Kudita reserves the right to:
Suspend or terminate vendor accounts for violations of this Agreement
Remove listings that pose legal, safety, or reputational risks
Withhold access to the platform during investigations
Vendors may terminate their account at any time.
10. Limitation of Liability
To the maximum extent permitted by law:
Kudita shall not be liable for vendor losses, lost profits, or business interruption
Kudita is not responsible for customer-vendor disputes
Kudita’s total liability shall not exceed fees paid by the vendor in the last 12 months
11. Indemnification
Vendors agree to indemnify and hold Kudita harmless from claims, damages, losses, or expenses arising from:
Products or services sold
Breach of this Agreement
Violation of laws or third-party rights
12. Modifications to the Agreement
Kudita may update this Vendor Agreement at any time. Continued use of the platform constitutes acceptance of the updated terms.
13. Governing Law
This Agreement shall be governed by the laws of Nigeria.
