Kudita is a digital-first commerce platform that enables vendors and restaurant owners to create branded e-commerce storefronts, sell online, manage orders, and receive payments seamlessly.
Kudita provides technology and infrastructure only. We are not a buyer or seller of goods and do not take ownership of products listed on the platform.
2. Eligibility
To use Kudita, you must:
Be at least 18 years old
Have the legal capacity to enter into a binding agreement
Provide accurate and complete registration information
By using Kudita, you confirm that you meet these requirements.
3. Account Registration and Security
You are responsible for maintaining the confidentiality of your account login details.
All activities carried out under your account are your responsibility.
You agree to notify Kudita immediately of any unauthorized access or security breach.
Kudita reserves the right to suspend or terminate accounts that violate these Terms.
4. Use of the Platform
You agree to use Kudita only for lawful purposes. You must not:
List illegal, prohibited, or counterfeit products
Upload false, misleading, or deceptive content

Attempt to hack, disrupt, or misuse the platform

5. Vendor Responsibilities
As a vendor or restaurant owner, you are solely responsible for:
The accuracy of product deions, pricing, and availability
Fulfilling orders promptly and professionally
Handling customer complaints, refunds, and disputes
Complying with all applicable laws, taxes, and regulations
Ensuring food safety, product quality, and delivery standards (where applicable)
Kudita is not responsible for the quality, safety, or legality of goods or services sold by vendors.
6. Payments and Fees
Kudita enables digital payments through third-party payment processors.
Payment processing, settlement times, and fees are subject to the terms of the payment provider.
Kudita may charge service fees, subion fees, or transaction fees, which will be clearly communicated.
Vendors are responsible for any applicable taxes, charges, or levies.
Kudita does not hold funds on behalf of vendors unless explicitly stated.
7. Third-Party Services
Kudita may integrate with third-party services such as payment processors, delivery partners, or analytics tools. Kudita is not responsible for:
Downtime or errors caused by third-party services
Actions or omissions of third-party providers
Losses arising from third-party platforms
Use of third-party services is subject to their respective terms and policies.
8. Intellectual Property
All Kudita branding, logos, software, designs, and content are the intellectual property of Kudita or its licensors.
You may not copy, modify, distribute, or reverse-engineer any part of the platform without prior written permission.
Vendors retain ownership of their content but grant Kudita a non-exclusive, royalty-free license to display and use such content for platform operations and marketing.
9. Data and Privacy
Your use of Kudita is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data.
By using Kudita, you consent to the collection and use of information in accordance with the Privacy Policy.
10. Suspension and Termination
Kudita reserves the right to:
Suspend or terminate your account without prior notice if you violate these Terms
Remove content that poses legal, security, or reputational risks
Restrict access to protect users and the platform
You may stop using Kudita at any time.
11. Disclaimers
Kudita is provided on an “as is” and “as available” basis.
We do not guarantee:
Continuous or error-free operation
That the platform will meet all business needs
Sales volume, revenue, or customer traffic
Use of the platform is at your own risk.
12. Limitation of Liability
To the maximum extent permitted by law, Kudita shall not be liable for:
Loss of profits, revenue, or business opportunities
Indirect, incidental, or consequential damages
Disputes between vendors and customers
Kudita’s total liability shall not exceed the fees paid by you to Kudita within the last 12 months.

You agree to indemnify and hold Kudita harmless from any claims, damages, losses, or expenses arising from:
Your use of the platform
Your products or services
Violation of these Terms or applicable laws
14. Changes to These Terms
Kudita may update these Terms from time to time. Changes will take effect once posted on the platform. Continued use of Kudita means you accept the updated Terms.

These Terms shall be governed by and interpreted in accordance with the laws of Nigeria, without regard to conflict of law principles.
